1. Operator and Contracting Party
These Terms of Service govern access to Model Gate. The contracting service provider is Salvatore Marrese, entrepreneur individuel (EI), trading as MODALIAM, SIREN 107 719 700, SIRET 107 719 700 00018, registered address 8 Résidence de la Frappière, 86000 Poitiers, France.
“Model Gate”, “we”, “us” and “our” refer to that service. “Customer”, “you” and “your” refer to the individual or organisation using the Service.
2. The Service
Model Gate provides metered software access to supported third-party artificial-intelligence models and related technical functionality, including API access, API-key management, request routing, usage measurement, asynchronous processing and billing.
Model Gate does not own most upstream AI models and does not guarantee that a specific model, provider, endpoint, feature, price, context length, response time or geographic route will remain continuously available.
3. Eligibility
You may use the Service only if:
- you are at least 18 years old;
- you have legal capacity to enter into a binding contract;
- your use is lawful in your country and the country from which you access the Service;
- you are not located in France or a prohibited, sanctioned or restricted jurisdiction;
- you are not subject to applicable sanctions or asset-freeze restrictions; and
- you are not acting on behalf of a prohibited person or entity.
If you use the Service for an organisation, you represent that you have authority to bind that organisation.
4. Account Registration and Security
You must provide accurate account information and keep it current. You are responsible for protecting passwords, authentication sessions, API keys and any credentials created through the Service.
You must promptly notify [email protected] if you suspect unauthorised access. You are responsible for activity performed using your credentials until Model Gate has had a reasonable opportunity to secure or suspend them.
5. Service Credits and Payments
Payments purchase closed-loop Model Gate service credits. Service credits:
- may only be used for eligible Model Gate services;
- are not bank deposits, money, electronic money or cryptocurrency;
- cannot be withdrawn as cash;
- cannot be transferred to another user;
- cannot be used to pay third parties;
- are not interest-bearing; and
- expire one year after the corresponding purchase unless mandatory law requires otherwise.
The minimum payment is USD 5.00. The maximum amount for a single payment is USD 1,000.00. Model Gate may impose lower account-specific or risk-based limits.
Checkout amounts are displayed in United States dollars. Displayed consumer prices include applicable VAT where VAT is chargeable and can be determined from the information available at checkout.
6. Service Delivery
Service credits are normally added automatically after the payment processor confirms the payment. Delivery generally occurs within ten minutes.
No physical goods are shipped. Delivery is completed electronically by crediting the customer account.
7. Immediate Performance
At checkout, a consumer may expressly request immediate performance of the digital service and acknowledge that usage can begin immediately after the balance is credited.
Model Gate records the version and time of the customer’s checkout consent. Any waiver or loss of a statutory withdrawal right applies only to the extent permitted by mandatory consumer law.
8. Usage Charges
Charges are calculated according to the pricing shown in the dashboard or applicable pricing page at the time the request is processed. Pricing may depend on the model, input tokens, output tokens, cached tokens, images, audio, tools, request type, provider costs or other stated units.
Usage estimates displayed before processing may differ from final metering. The final metered usage recorded by Model Gate is used for billing, subject to correction of verified technical or accounting errors.
9. Refunds
Refunds are governed by the Service Delivery and Refund Policy.
Refund requests are reviewed case by case. Unused purchased balance may be refundable where legally required or where Model Gate is unable to provide the purchased service.
Consumed API usage is non-refundable except for duplicate charges, confirmed incorrect metering, an unauthorised payment confirmed after investigation, or a material service failure attributable to Model Gate.
10. Chargebacks
Before initiating a chargeback, contact [email protected] so that the matter can be investigated.
If a payment is charged back, reversed or disputed, Model Gate may reverse the associated service credits, deduct the disputed amount from the account balance, suspend access and provide relevant records to the payment provider. If credits have already been consumed, the account may show an amount due.
11. Acceptable Use
You must comply with the Acceptable Use Policy and any applicable upstream-provider rules.
You must not use the Service to violate law, evade sanctions or provider restrictions, compromise systems, distribute malware, facilitate fraud, exploit minors, violate intellectual-property rights or generate other prohibited content.
12. Customer Content
As between you and Model Gate, you retain rights you lawfully hold in prompts, files and other input submitted to the Service.
You grant Model Gate a limited, non-exclusive licence to receive, process, transmit, temporarily store and reproduce customer content only as reasonably necessary to provide, secure and support the Service.
You are responsible for ensuring that you have the rights and lawful basis required to submit customer content.
13. AI Output
AI output may be inaccurate, incomplete, offensive, outdated, non-unique or unsuitable for a particular purpose. You must independently review output before relying on it.
Model Gate does not guarantee that AI output is free of third-party rights or that it may be used for every commercial, regulated or high-impact purpose. Use may also be governed by the applicable upstream provider’s terms.
14. Prohibited High-Risk Reliance
You must not treat unreviewed AI output as a substitute for qualified legal, medical, financial, tax, employment, insurance, credit or other regulated professional judgement.
You are responsible for legally required human oversight, notices, explanations, testing and appeal mechanisms when using AI in decisions that materially affect individuals.
15. Availability and Changes
Model Gate may maintain, modify, discontinue or replace a model, route, provider, feature or endpoint. We may introduce reasonable technical limits to preserve security, compliance, reliability and fair usage.
We will make reasonable efforts to communicate material changes where practicable, but emergency, provider-driven or security changes may take effect immediately.
16. Suspension and Termination
Model Gate may restrict or suspend an account where reasonably necessary to investigate fraud, abuse, payment disputes, sanctions risk, security issues, legal violations or breaches of these Terms.
A user may permanently delete an account from the customer dashboard. Account deletion is processed immediately and cannot be reversed.
Any remaining balance is forfeited when the user voluntarily deletes the account, except where a refund is required by mandatory law or has already been approved in writing.
17. Records Retained After Closure
Account access ends immediately upon deletion. Model Gate may retain billing, accounting, fraud-prevention, security, dispute and compliance records where required by law or reasonably necessary to establish, exercise or defend legal claims.
18. Intellectual Property
Model Gate and its original software, documentation, branding and website content remain the property of the operator or applicable licensors.
These Terms do not transfer ownership of Model Gate software or third-party models. You may not copy, resell, reverse engineer or exploit the Service except as expressly permitted by law or written agreement.
19. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. Model Gate does not warrant uninterrupted operation, error-free AI output, suitability for a particular purpose or permanent availability of an upstream provider.
Nothing in these Terms excludes warranties or remedies that cannot lawfully be excluded for a consumer.
20. Limitation of Liability
To the maximum extent permitted by law, Model Gate is not liable for indirect, incidental, special, consequential or purely economic loss arising from customer misuse, unreviewed AI output, third-party provider downtime, unauthorised credential sharing or content supplied by the customer.
For business customers, Model Gate’s aggregate contractual liability for an event is limited to the amount paid by that customer to Model Gate during the three months preceding the event giving rise to the claim.
This limitation does not apply where prohibited by law, including liability that cannot be excluded for fraud, intentional misconduct, death or personal injury caused by negligence, or mandatory consumer rights.
21. Indemnity for Business Customers
A business customer will indemnify Model Gate against third-party claims resulting from its unlawful customer content, infringement of third-party rights, prohibited use or material breach of these Terms, except to the extent caused by Model Gate.
22. Governing Law
These Terms are governed by French law, without depriving an eligible consumer of mandatory protections applicable in the consumer’s country of habitual residence.
Subject to mandatory consumer jurisdiction rules, disputes involving a business customer fall within the jurisdiction of the competent courts for the operator’s registered place of business.
23. Complaints
Complaints may be submitted under the Complaints Procedure. Nothing in that procedure limits mandatory rights to contact a regulator, consumer authority, court or payment provider.
24. Changes to These Terms
Model Gate may update these Terms for legal, regulatory, security, provider, pricing or operational reasons. The current version and effective date will be published on this page.
Material changes affecting an existing paid service will be communicated through the website, dashboard or account email where reasonably practicable.
